The exact services to be provided will depend on the quotation, proposal, scope of work or other written agreement applicable to the engagement.

4. Quotations and Acceptance

Quotations and proposals provided by Cobalt will set out the proposed scope of services and applicable fees where appropriate.

Unless otherwise stated in writing, a quotation is not a guarantee that services will remain available indefinitely and may be subject to availability.

A contract for services will arise when the customer accepts the quotation, proposal or agreed scope of work and Cobalt confirms acceptance, or when the parties otherwise agree in writing to commence the work.

5. Customer Responsibilities

The customer is responsible for providing Cobalt with accurate, complete and reasonably up-to-date information relevant to the services being provided.

Where access to premises, documents, records, staff or operational information is required, the customer should provide reasonable access and cooperation.

The customer remains responsible for the operation and management of its business, including compliance with its legal, regulatory and permit obligations, except to the extent that a specific written agreement expressly assigns a particular responsibility to Cobalt.

6. TCM Services

Where Cobalt provides Technical Competent Manager services, the precise responsibilities, attendance arrangements and scope of the TCM engagement will be agreed with the customer.

TCM services are subject to the relevant Environmental Permit, site activities, operational circumstances and applicable regulatory requirements.

The customer remains responsible for the day-to-day operation and management of its site unless specific responsibilities have been expressly agreed in writing.

Emergency or short-notice TCM cover is subject to availability and arrangement.

7. Consultancy and Compliance Advice

Cobalt provides practical professional advice based on the information, documents, site conditions and circumstances available at the time of the work.

Unless specifically agreed otherwise, reports, reviews, audits and recommendations are intended to support the customer’s management of environmental, waste and health and safety compliance.

Advice does not replace the customer’s own legal, operational or management responsibilities.

8. Fees and Payment

Fees will be agreed with the customer before work commences wherever reasonably practicable.

The applicable quotation, proposal or invoice will state the agreed payment terms.

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.

Where additional work is requested outside the agreed scope, Cobalt may agree an additional fee with the customer before carrying out that work.

Cobalt reserves the right to pause work where an invoice remains unpaid beyond the agreed payment terms, subject to applicable law and the circumstances of the engagement.

9. Expenses and Additional Costs

Any agreed travel, accommodation, specialist costs or other reasonable expenses will be identified in the quotation or otherwise agreed with the customer where applicable.

Cobalt will seek agreement before incurring significant additional costs outside the agreed scope, where reasonably practicable.

10. Cancellation and Rescheduling

Customers should provide as much notice as reasonably possible where an agreed appointment, site visit, audit or other service needs to be cancelled or rescheduled.

Where cancellation or rescheduling results in costs or significant time being incurred by Cobalt, any applicable cancellation charge will be agreed or set out in the relevant quotation or written agreement.

Any cancellation charge will be proportionate to the work, costs or loss reasonably incurred and will be subject to applicable law.

11. Confidentiality

Cobalt will treat confidential business and operational information provided by a customer as confidential and will only use or disclose it where reasonably necessary to provide the agreed services, where required by law, or where otherwise authorised by the customer.

Customers should also treat confidential information relating to Cobalt’s business, methods, documents and commercial information appropriately.

12. Reports, Documents and Intellectual Property

Unless otherwise agreed in writing, reports, documents, templates and other materials specifically prepared by Cobalt for a customer may be used by that customer for its own internal business and compliance purposes.

Cobalt retains ownership of its pre-existing materials, methodologies, templates, know-how and intellectual property.

Customers must not reproduce, sell, publish or commercially distribute Cobalt’s materials to third parties without permission unless this is expressly permitted by the relevant agreement or required by law.

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

In particular, nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to applicable law, Cobalt will not be responsible for losses arising from matters outside its reasonable control or from inaccurate, incomplete or misleading information supplied by the customer or by third parties.

Where the customer is a business, Cobalt’s liability will be limited to the extent permitted by applicable law and taking into account the nature and circumstances of the engagement. Any specific liability limit agreed for a particular service will be stated in the relevant written agreement.

15. Regulatory and Legal Compliance

Cobalt’s advice and services are intended to support customers in managing their environmental, waste and health and safety responsibilities.

Either party may seek to end an ongoing engagement in accordance with the notice or termination arrangements agreed for that engagement.

Where no specific arrangements have been agreed, either party may request termination by giving reasonable written notice.
